CONSTITUTION
OF THE
KANSAS ASSOCIATION OF TEACHERS OF MATHEMATICS
(as amended 9-22-06)


ARTICLE I. The Organization
Section I. The name of the organization shall be the Kansas Association of Teacher of Mathematics.
Section II. The name of the official publication shall be: Bulletin of the Kansas Association of Teachers Of Mathematics.
Section III. The organization shall be affiliated with the National Council of Teachers of Mathematics.
Section IV. Association purpose.
a. Said association is organized exclusively for charitable, religious, educational, and scientific purpose including, for such purposes, the making of distributions to organizations under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
b. No part of the net earning of the corporation inure to the benefit of, or be distributed to its members, trustees, officers, or other private persons, except that the
corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purpose set forth in section IVa hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda, otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of these articles the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under section 501 (c)(3) of the Internal Revenue Code, or corresponding section of any federal tax code, or (b) by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future tax code. [If reference to federal law in articles of incorporation impose a limitation that is invalid in your state, you may wish to substitute the following for the last sentence of the preceding paragraph: “Notwithstanding any other provision of these articles, this corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purpose of this corporation.”]
Section V. The goals of this association shall be:
a. To create and maintain greater interest in the learning and teaching of mathematics.
b. To provide services and opportunities for professional growth and development of teachers of mathematics.
c. To provide a forum through which teachers and others interested in mathematics learning and education can discuss and respond to issues and activities affecting mathematics education in Kansas and the nation.
d. To promote the value of learning mathematics and take positions which will positively affect mathematics education in Kansas.
e. To foster cordial relations among and between the various groups in Kansas who are interested in and impacted by mathematics education in the state.
Section VI. The fiscal year of the Association shall commence on June 1 and end on May 31. All terms of office shall commence and end on those dates.
ARTICLE II. Membership
Section I. Individual -- Any teacher or other individual interested in the goals of the Association may become an active member upon payment of dues.
Section II. Institutional -- Any institution interested in the goals of the Association may become a member upon payment of dues. An institutional membership shall entitle the institution to send up to three people to the state conference at member rates (others must pay nonmember rates unless they have an individual membership).
Section III. Any individual may be presented an honorary membership in the Association by the Executive Board.
ARTICLE III. Dues
Section I. Dues shall be collected on an annual basis.
Section II. The amount of dues shall be established by the Executive Board.
Section III. Dues shall be payable to the Membership Chair.
Section IV. Members whose dues are in arrears for six months shall lose the privileges of membership.
ARTICLE IV. Officers
Section I. Elected offices -- The officers of the Association shall be president; president-elect; vice-president for elementary; vice-president for junior high / middle school; vice-president for senior high; vice-president for college; and secretary. The terms of office shall be listed in the policy book.
Section II. Appointed officers -- The Executive Board shall appoint an editor of the Bulletin of the Kansas Association of Teachers of Mathematics,the Treasurer, the Contest Coordinator, and Zone coordinators.
Section III. Officers’ duties shall be as listed in the policy book.
Section IV. Executive Board-- This body shall be comprised of the elected officers. In addition, the treasurer, the Zone Coordinators, the editor of the BULLETIN, the NCTM Representative, Membership, and the Community Relations Representative will also serve on the Executive Board. Each voting office will be given one vote. In case of co-officers, there will be one vote for the office. The Executive Boardshall consider recommendations from the membership, keep the membership informed of activities of the Association, prepare and submit position statements of the Association to the membership, determine the dues (subject to a vote of the membership, Article III, Section II), and act in all matters of the Association consistent with this constitution. The Executive Board shall serve as the governing body of the Association.
Section V. KATM Committees -- KATM will operate with five (5) major committees. The committees, committee members, and committee responsibilities are as listed in the policy book.
ARTICLE V. Elections
Section I. Nominations -- Selection of candidates for elective offices shall be made by the nominating committee.
Section II. Elections -- The membership shall elect officers of the Association by ballot. The ballots shall be delivered to the membership by March 1. The Executive Board is responsible for counting the returns and certifying the election.
Section III. Completion of term -- In the event of resignation or other termination of service of an elected officer, the Executive Board shall appoint a successor to complete the term of office.
ARTICLE VI. Meetings
Section I. Annual meeting -- The meetings of the Association shall include an annual meeting to be held at a time and place designated by the Executive Board. The membership shall be notified appropriately in advance of such meeting.
Section II. Quorum -- The active members voting at business meetings of the Association shall constitute a quorum for the transaction of business.
Section III. Transition of Officers -- The Executive Board shall hold a meeting as soon as is convenient after June 1 of each year for the purpose of assuring an orderly transition of responsibilities between new and retiring officers.
ARTICLE VII. Amendments
Section I. This constitution shall be amended upon approval of two-thirds of the membership who vote via the procedure established by the Executive Board.
ARTICLE VIII. Dissolution
Section I. Upon dissolution of this organization, the Executive Board or other governing board shall, after paying or making provision for payment of all liabilities of the organization, dispose of all assets of the organization as described in ARTICLE I, Section IV, in such manner to such organization or organizations, organized or operating exclusively not for profit for charitable, educational, religious or scientific purposes as shall at the time qualify as exempt organization or organizations under Section 501(c)(3) of Internal Revenue Code of 1896 (or corresponding provision on any future United States law), as the said governing board shall determine. Any of such assets not so disposed of shall be disposed of by the district or in the county of which the principal office of the organization is then located exclusively for such purposes.
